Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kleerance restricted-party and sanctions screening platform (the "Service") operated by Kleerance Compliance Systems ("Kleerance," "we," "us"). By creating an account, accessing the Service, or clicking "I agree," you ("you," "Customer") agree to be bound by these Terms.

1. The Service

The Service aggregates publicly available watchlist and restricted-party data published by U.S. and international government authorities and provides search, batch screening, monitoring, audit logging, and reporting tools to help compliance teams identify potential matches against those lists.

2. Informational use only — not legal advice

The Service is provided for informational purposes only. It does not constitute legal, financial, or compliance advice, and a match, non-match, or score returned by the Service is not a compliance determination, a clearance, or an authorization to transact. You are solely responsible for any decision you make based on Service output, including any decision to accept, reject, onboard, terminate, or transact with a counterparty.

3. Not a consumer report — FCRA prohibition

Kleerance is not a consumer reporting agency. The Service is not a "consumer report" as that term is defined by the U.S. Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. ("FCRA"). You agree that you will not use the Service, in whole or in part, as a factor in establishing a consumer's eligibility for: (a) credit or insurance to be used primarily for personal, family, or household purposes; (b) employment, hiring, promotion, reassignment, or retention; (c) housing or tenancy; (d) a government license or benefit; or (e) any other purpose covered by the FCRA or any analogous state or international consumer-protection law. You agree to defend, indemnify, and hold Kleerance harmless from any claim arising out of your use of the Service for any such prohibited purpose.

4. Verify against primary sources

Watchlist data is sourced from third-party government publishers. You agree to independently verify any match, possible match, or absence of match against the official primary source published by the relevant authority (e.g., the OFAC SDN List, the BIS Entity List, the UN Consolidated List, the EU Consolidated Financial Sanctions List, the UK Sanctions List) before making any decision or representation that relies on the result. Every result returned by the Service links to its primary source for that purpose.

5. No warranty as to completeness or currency

Government watchlist data changes frequently and outside our control. We use reasonable efforts to ingest updates promptly, but we make no warranty that data presented through the Service is complete, current, accurate, or error-free, or that the Service will identify every relevant match. Coverage, refresh cadence, and result ordering may change.

7. Subscription and payment

Paid plans renew on the cadence selected at checkout (typically monthly or annually) unless cancelled before the renewal date. Fees are billed in advance and are non-refundable except where required by law. We may modify pricing on prospective renewal terms; we will give reasonable advance notice of any change.

8. Intellectual property

The Service, including all software, normalized schemas, search and ranking logic, and user interfaces, is the property of Kleerance and is protected by intellectual-property laws. Underlying watchlist content is published by the respective government authorities and remains subject to their terms. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business compliance purposes.

9. Customer data

You retain ownership of the search queries and other data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to operate the Service for you, maintain audit logs, and improve the platform's accuracy and security, as further described in our Privacy Policy.

10. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Kleerance disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted or error-free operation.

11. Limitation of liability

To the maximum extent permitted by law, Kleerance and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Service, even if advised of the possibility. Our aggregate liability for any claim arising out of or related to the Service will not exceed the fees you paid to Kleerance for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Kleerance harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your decisions made in reliance on Service output, or (c) any use of the Service for an FCRA-covered purpose.

13. Termination

You may terminate your account at any time. We may suspend or terminate access for breach of these Terms or for any reason on reasonable notice. Sections concerning disclaimers, FCRA prohibition, indemnification, limitation of liability, and any provision that by its nature should survive, will survive termination.

14. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. We will provide reasonable notice of material changes. Continued use of the Service after an update constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
